Compensation: $120,000 – $150,000 + Bonus

About the Role

2NSystems is entering an exciting phase of growth—including international expansion and strategic acquisitions—and we are seeking our first in-house legal leader to help guide us through it.

This is a rare opportunity to build and lead the legal function from the ground up while partnering directly with executive leadership on high-impact business initiatives.

As our Corporate Counsel / General Counsel, you will serve as a strategic advisor across the organization—balancing legal risk with business objectives to help the company move quickly, confidently, and compliantly.

What You’ll Do

Strategic & M&A Leadership

• Lead or support mergers & acquisitions, including due diligence, deal structuring, negotiations, and integration
• Partner with executive leadership on growth strategy and risk management
• Identify legal risks and opportunities tied to business initiatives
• Global Expansion & Compliance
• Advise on international expansion, including entity formation and subsidiary management
• Navigate cross-border legal considerations (employment, data privacy, trade compliance)
• Coordinate and manage local counsel across multiple jurisdictions

Contracts & Corporate Governance

• Draft, review, and negotiate commercial agreements
• Build scalable contract templates, playbooks, and approval processes
• Establish corporate governance frameworks and compliance programs
• Day-to-Day Legal Support
• Provide guidance on employment, IP, regulatory, and operational matters
• Manage outside counsel relationships and legal spend
• Develop internal legal processes that support a growing organization

What We’re Looking For

• J.D. from an accredited law school and active bar membership in good standing
• 5–10+ years of legal experience, including:
• Law firm experience with a focus on corporate, M&A, or transactional law
• Prior in-house experience (especially in high-growth environments)
• Demonstrated experience with M&A and cross-border/international matters
• Strong understanding of global compliance (employment, data privacy, trade regulations)
• Excellent business judgment with a practical, solutions-oriented approach
• Strong communication and collaboration skills across all levels of the organization
• Ability to operate independently as a standalone legal leader

Work Environment

This role is based in Roanoke, VA, with flexibility considered depending on candidate experience (including hybrid or fractional arrangements initially). Some travel may be required to support acquisitions or international operations.
