Job DescriptionJob DescriptionDirect Counsel is partnering with a prestigious AmLaw 10 law firm to identify a Debt Finance Associate (2–6 years of experience) to join its Energy & Infrastructure practice in Washington, DC or New York.
This role offers the opportunity to work on complex domestic and international debt financing transactions supporting major energy, infrastructure, and digital infrastructure projects. Associates will collaborate with a leading team advising private equity sponsors, project developers, institutional investors, and financial institutions on sophisticated project and acquisition financings.
Key Responsibilities

Draft and negotiate debt financing documentation, including credit agreements, note purchase agreements, depositary agreements, and security documents

Support domestic and cross-border financing transactions in the energy and infrastructure sectors

Review and draft commercial project documents related to energy and infrastructure projects

Assist with acquisition finance transactions, particularly in the energy and infrastructure industries

Work closely with sponsors, lenders, and developers on complex project finance matters
Industry Focus
The practice advises on financings and transactions across a range of sectors, including:

Renewable energy projects (wind, solar, hydrogen, renewable gas)

Oil and gas projects, including LNG

Conventional power projects

Digital infrastructure, including data centers and telecommunications networks
Qualifications

2–6 years of debt finance experience at a leading or international law firm

Experience drafting and negotiating financing and security documentation

Familiarity with project finance or acquisition finance transactions, particularly in energy or infrastructure

Strong transactional drafting and negotiation skills

Ability to work on complex cross-border transactions

Outstanding academic credentials

Admission to the DC or New York Bar (or eligibility to obtain admission)

Compensation
